sbs 2003 32-bit dc (no exchange) replacing with 2012 std server

We are replacing the sbs 2003 32-bit system with a "new" 2012 std server.  We have been running Exchange but are "not" going to use it with the 2012 server.  So no need to move any of it over.  I have searched, and do not find, any info that is official from Microsoft, on how to do this.  I was referred to "Prepare your source server for windows server 2012 essentials migration" on TechNet.  This article is refers to going to 2012 essentials.  I am going to 2012 std but tried to follow steps.  It refers to running the migration prep tool from the media (\support\tools\sourcetool.msi).  This is missing from the win 2012 media.  So cannot run the migration tool.   I find no info related to why this file is not present, but do find people suggesting the old way of joining the 2012 server to the sbs 2003 domain.  Join domain,  and promote it. But still need to run adprep on the sbs 2003 first before I can do that.  Since their is no adprep on the 2012 media for a 32 bit machine where can I find this tool to update the schema?  Found article that said use the 32 bit version from a win 2008 r2 media.  Then find a another article that states you do not use dcpromo on a window 2012 server you add ad ds using windows powershell.  No more information than that blurb.  Need guidance on how to proceed to get this task accomplished without just guessing and messing things up.  Help will be appreciated.
